FINAL TAX / K-1 INFORMATION

Each Member will receive a final Form K-1 for the year ending December 31, 2021. Forms K-1 will be mailed by the tax accounting firm RSM in February, 2022.  For any information about the current year Form K-1, Members should send requests to RSM, Attn: Andy Conyers, 400 Locust St., Ste. 640 Des Moines, IA 50309To the extent you make requests to RSM, be aware that RSM may assess charges for the expense they incur in processing requests because ABE is no longer in existence.  Please do not contact RSM regarding timing of K-1 mailing; K-1’s will be mailed in February 2022.

 


OTHER FINAL INFORMATION

Advanced BioEnergy has now been liquidated and dissolved. All uncashed distribution checks have now been turned over to the unclaimed property divisions of the states of the members’ last address on file with the company. Members must contact their respective states to submit a claim to recover these funds.

Advanced BioEnergy has closed its offices and is no longer responding to any mail or email correspondence. The Company intends to maintain this website through December 31, 2022, where there will be information available with regard to distributions and contacts for tax information. You can find further information on the Company’s history by searching EDGAR on the SEC‘s website, www.SEC.gov.

 

Final Distribution

On July 19, 2021, the Board of Directors authorized a final distribution to Members of $8.5 million or $0.332 per unit, payable to Members of record as of July 19, 2021. The Company mailed each Member the final distribution, with a letter containing additional information about the Company’s liquidation and dissolution process, beginning July 20, 2021. Initial Distribution

On January 14, 2020, the Board of Directors authorized an initial distribution to Members of $7.88 million or $0.31 per unit, payable to Members of record as of January 24, 2020. The Company mailed each Member the initial distribution, with a brief summary of the Company’s windup process, beginning January 24, 2020.

Other Information

As previously disclosed in filings with the Securities and Exchange Commission (“SEC”), Advanced BioEnergy, LLC (the Company”), ABE South Dakota, LLC and Glacial Lakes Energy, LLC closed the previously described Asset Sale on December 19, 2019.

Upon the closing of the Asset Sale, the Company commenced its liquidation in accordance with the Plan of Liquidation adopted by the Company’s Members at a Special Meeting of Members held on September 19, 2019.

In connection with the Company’s liquidation, the Company’s Board of Directors determined that the Company’s transfer records would be closed from and after the close of business on December 19, 2019. Accordingly, as of December 19, 2019, the holders of units ceased to have any rights in respect of these units except the right to receive distributions, if any, pursuant to and in accordance with the Plan of Liquidation, the Company’s Operating Agreement and Delaware law.
